Agreement Date: The date of commencement of services
Agreement Term: For as long as the Client continues to access Boost Learning's services.
The Agreement
Boost Learning (Company Number 720077) offers:
virtually delivered coaching programmes that are supported by an online learning environment,
bundles of on-demand coaching and
consultancy services.
Coaches are representatives of Boost Learning who deliver its coaching services.
Clients of Boost Learning are:
individuals who participate in one or more of Boost Learning’s suite of products and coaching services.
individuals or organisations who engage Boost Learning for consultancy or other services.
Sponsoring third parties may sponsor Clients to engage in Boost Learning’s products and services, for example an employer of the Client, or be customers who purchase Boost Learning Consultancy Services.
Coaching Services
Coaching is a collaborative process with an ongoing relationship between the Client and Coach. The coaching experience supports the Client in establishing new, or enhancing existing, behaviours and habits related to the workplace. The coaching relationship is strengths-based, forward-looking, and collaborative.
The Client, Boost Learning and all of its representatives
• agree to adhere to the Boost Learning Code of Conduct,
• may terminate or discontinue the coaching relationship at any time,
• agree to communicate honestly, be open to feedback and assistance and to create the time and energy to participate fully in the service being accessed.
The Client recognises that coaching is not therapy, counselling, or consulting and, it is never intended, nor should it be taken, to be legal or medical advice. The Client is solely responsible for creating and implementing their own professional success and physical, mental and emotional well-being, decisions, choices, actions and results arising out of or resulting from the coaching relationship and their coaching calls and interactions with the Coach.
Consultancy Services
Consultancy is the provision of professional expertise and advice and by its nature is activity or solution development focused. Boost Learning may provide consultancy services from time to time and the terms of this type of arrangement will be clearly defined and separately agreed.
Confidentiality
Boost Learning uses systems to deliver its services that may result in the recording and storage of information that is shared with Boost Learning by the Client, through its online and virtually delivered services or through the means of digital media. Sensitive information is never requested, recorded or stored by Boost Learning. Personal information may be recorded and stored in order to deliver the purchased service. Personal information is restricted to name, email address, postal address for invoicing purposes if applicable, and contact telephone number.
Boost Learning and its representatives agree to keep all conversations and information shared by the Client private and confidential, as allowable by law.
No information will be shared about the Client with anyone without the Client’s express permission. Exceptions may be made if there is an imminent threat of serious injury to oneself or someone else, or the Boost Learning Code of Conduct is contravened by either the Coach or the Client.
Where the Client’s access to Boost Learning services is sponsored by a third party, service usage information will be shared with the third party. Service usage information is limited to the following:
Client Name,
Type and name of service accessed,
Qualitative assessment of level of engagement with the purchased services and
Dates of access.
Coaching Commitment
By entering into this relationship, the Client and Boost Learning acknowledge that the Client desires to make a behavioural change or some type of improvement in his or her work life. Behavioural change often takes time to implement and sustain. The pace of change is uncertain and varies amongst individuals. As such, the Client and Boost Learning agree to a minimum of a 3-month relationship that include 4 coaching appointments or the full completion of a Capability booster.
Coaching Session and Consultancy Meeting Procedures
Coaching sessions and consultancy meetings may occur in person, by phone, through virtual calls, or over email, depending on the venue that works best for the Client and what service is selected.
Boost Learning and the Client agree to adhere to established appointment times.
Boost Learning and the Client agree to begin and finish all appointments on time. If the Client is more than 10 minutes late to an appointment, it will be assumed that the appointment is cancelled, and the Client will be responsible for the full coaching fee. Where the appointment was part of a Capability booster, the Client or the sponsoring third party will be invoiced for an additional instance of coaching.
If the Boost Learning representative is more than 10 minutes late to an appointment, the Client may assume that the session is cancelled, and the Client shall not be responsible for any payment for that session.
The Client agrees to cancel or reschedule an appointment at least 24 hours in advance, without a change fee. Any changes or cancellations within 24 hours are subject to a 100% cancellation fee. Where the appointment was part of a Capability booster, the Client or the sponsoring third party will be invoiced for an additional instance of coaching.
Limited Liability
Except as expressly provided in this Agreement, Boost Learning makes no guarantees, representations or warranties of any kind or nature, express or implied with respect to the services negotiated, agreed upon and rendered. In no event shall Boost Learning or its representatives be liable to the Client or the sponsoring third party for any direct, indirect, consequential or special damages. Notwithstanding any damages that the Client or the sponsoring third party may incur, Boost Learning’s entire liability under this Agreement, and the Client’s or the sponsoring third party’s exclusive remedy, shall be limited to the amount actually paid by the Client or the sponsoring third party to Boost Learning under this Agreement for all services rendered through and including the termination date, up to a maximum of €5,000.00.
This Agreement serves to govern the relationship between the Client, sponsoring third party and Boost Learning. The Agreement may evolve and be updated periodically. The Client and sponsoring third party will be notified of any material changes as they are made.
